End User Licence Agreement & Terms of Service
StatimFP&AVersion 1.0 — completed draft, 15 Sep 2026
1Who we are and what this covers
These terms (the “Terms”) are an agreement between Paarus Vekaria, trading as StatimFP&A (“Statim”, “we”, “us”), and the business or organisation that registers for or uses the Service (“Customer”, “you”). Statim is not yet incorporated — these terms transfer to StatimFP&A's UAE company once it is licensed; we will tell you in writing. Contact: hello@statimfpa.ai (postal address on request).
They govern access to and use of StatimFP&A, our cloud-based financial planning, consolidation, reporting and analysis platform, together with its related mobile applications, portals, connectors and services (the “Service”), made available at statimfpa.ai, statimfpa.com and associated domains.
The Service is provided for business use only. By creating an account, clicking to accept, or using the Service, you confirm that you are acting in the course of a business and not as a consumer, and that the person accepting has authority to bind the Customer. If you do not agree to these Terms, do not use the Service.
If we enter into a separate signed agreement or order form with you (an “Order”), the Order prevails over these Terms to the extent of any conflict.
2Definitions
- “Authorised User”
- An individual you permit to use the Service under your account, including your employees, contractors, and (for Practices and Groups) individuals at your Clients or Portfolio Entities to whom you delegate access.
- “Client”
- Where the Customer is an accounting or advisory practice, a client of that practice whose Entities the Customer manages within the Service.
- “Customer Data”
- All data submitted to the Service by or on behalf of you or your Authorised Users, including trial balances, transactions, budgets, forecasts, documents, and data imported through Connected Services.
- “Connected Service”
- A third-party product you choose to link to the Service, such as an accounting platform (for example Xero or QuickBooks Online), an Open Banking or bank-feed provider, or HMRC's Making Tax Digital services.
- “Entity”
- A single set of company books (a company, trust or other undertaking) configured within the Service. Subscription fees are calculated by reference to Entities.
- “Group”
- A Customer (including a venture capital or private equity trust, fund or holding structure) using the Service to consolidate or oversee multiple Entities, including portfolio companies ("Portfolio Entities").
- “Output”
- Reports, board packs, consolidations, forecasts, commentary, classifications and other material generated by the Service from Customer Data, including AI-generated content.
- “Practice”
- A Customer that is an accounting, bookkeeping or advisory practice using the Service on behalf of its Clients.
- “Share Link”
- A tokenised link generated within the Service (for example a board-pack share link or magic-link viewer access) that grants scoped access to specified Output or data without a full account.
3Your licence to use the Service
Subject to these Terms and payment of the applicable fees, we grant you a non-exclusive, non-transferable, non-sublicensable licence during the Term to access and use the Service for your internal business purposes and, where you are a Practice or Group, for providing services to your Clients or managing your Portfolio Entities.
You must not, and must not permit anyone else to:
- copy, modify, adapt, translate or create derivative works of the Service or its underlying software;
- reverse engineer, decompile or otherwise attempt to derive the source code of the Service, except to the extent such restriction is prohibited by law;
- rent, lease, resell, distribute or otherwise commercially exploit the Service, other than as expressly permitted for Practices and Groups under clause 5;
- access the Service to build a competing product, or copy its features, functions or user interface for that purpose;
- circumvent usage limits, Entity caps, access controls or security measures; or
- use the Service other than through the interfaces and APIs we make available.
We and our licensors retain all rights in the Service not expressly granted. No rights are granted by implication.
4Accounts and security
You must provide accurate registration information and keep it up to date. You are responsible for all activity under your account and for maintaining the confidentiality of credentials, including magic links and Share Links generated under your account.
You must ensure each Authorised User keeps credentials secure and complies with these Terms. Acts and omissions of your Authorised Users are treated as yours.
Notify us without undue delay at hello@statimfpa.ai if you become aware of unauthorised access to your account or any security incident affecting the Service.
5Practices, groups and delegated access
Practices.If you are a Practice, you may create and manage Client tenants and Entities, invite Client personnel as Authorised Users, and generate Output for Clients. You warrant that you have each Client’s authority to submit its data to the Service, to connect its Connected Services, and to receive and share its Output. As between you and us, you are responsible to your Clients for the services you provide using the platform.
Groups.If you are a Group, you may configure Portfolio Entities, request uploads from portfolio companies (including through upload portals), and produce consolidated Output. You warrant that you have the legal right — by ownership, contract or consent — to obtain and process each Portfolio Entity’s data within the Service.
Delegated and scoped access. Where the Service lets you grant scoped roles, delegated write access, or viewer access by Share Link, you are responsible for deciding who receives access, the scope granted, and for revoking access when no longer appropriate. Anyone using a Share Link you distribute is treated as your Authorised User for the material it exposes.
Nothing in these Terms creates any contract between us and your Clients or Portfolio Entities, and no third party has rights under these Terms except as set out in clause 21.6.
6Subscriptions, fees and billing
The Service is sold on subscription plans priced per Entity and/or per plan tier, as published at statimfpa.ai/pricing or set out in an Order. Plan limits (including maximum Entity counts on capped tiers) are enforced by the Service.
Fees are payable in advance for each billing period by the payment method you register (payments are processed by our payment provider). Except as required by law or expressly stated in these Terms, fees are non-refundable and amounts are exclusive of VAT, which will be added where applicable. You can pay monthly, or annually upfront at 10 months' price.
Adding Entities or upgrading mid-period is charged pro rata; reductions take effect from the next billing period. If a payment fails, we may retry, and may suspend the Service under clause 19.3 if it remains unpaid 14 days after we notify you.
We may change our prices on at least 30 days’ notice, effective from your next renewal. If you do not accept a price change you may cancel before it takes effect.
Free trials, beta features and preview environments are provided “as is”, may be modified or withdrawn at any time, and may be subject to additional terms presented when enabled.
7Customer Data
You retain all rights in Customer Data. You grant us a worldwide, non-exclusive licence to host, copy, process, transmit and display Customer Data solely to the extent necessary to provide and support the Service, to comply with law, and as otherwise permitted by these Terms.
You are responsible for the accuracy, quality and legality of Customer Data and for having all rights and consents needed to submit it — including, for Practices and Groups, the authority described in clauses 5.1 and 5.2.
We may use aggregated, de-identified usage and performance data that does not identify you, your Clients, Portfolio Entities or any individual, to operate, benchmark and improve the Service. We will not use Customer Data to train generalised AI models without your prior agreement.
We maintain routine backups for disaster recovery. The Service is not an archival system: you should retain your own primary accounting records, and statutory record-keeping obligations remain yours (or your Clients’).
8Connected services and integrations
The Service can connect to Connected Services at your instruction — for example accounting platforms, bank feeds, and HMRC Making Tax Digital submissions. By linking a Connected Service you authorise us to exchange data with it on your behalf within the scopes you grant.
Connected Services are governed by their own terms between you and the relevant provider. We are not responsible for Connected Services, for the data they supply, or for changes, outages or withdrawal of their APIs. Where a Connected Service changes in a way that affects the Service, we will use reasonable endeavours to adapt, but we may withdraw an affected integration.
Regulatory submissions. Where the Service transmits filings or returns to a regulator or tax authority (including HMRC) at your instruction, you (or the responsible Practice or Client) remain solely responsible for reviewing and approving the content of each submission before it is made, and for its accuracy and timeliness.
9Data protection
Each party will comply with applicable data protection law, including the UK GDPR and the Data Protection Act 2018, in relation to personal data processed in connection with the Service.
Except for account and billing data (which we process as controller, as described in our Privacy Policy), we process personal data contained in Customer Data as your processor, acting on your documented instructions. The parties will comply with the Data Processing Addendum, which forms part of these Terms and includes details of sub-processors, international transfers, security measures and deletion.
Where you are a Practice or Group, you warrant that a lawful basis exists for the personal data of your Clients or Portfolio Entities to be processed in the Service, and that any required notices have been given.
We maintain appropriate technical and organisational security measures, including tenant isolation, role-based and row-level access controls, and encryption in transit. We will notify you without undue delay after becoming aware of a personal data breach affecting Customer Data.
10AI features
The Service includes AI-assisted features — such as automated account mapping and classification, forecast commentary, copilot chat, and generated narrative in board packs. AI-generated Output is produced by statistical models and may be incomplete, out of date or wrong, including in ways that appear plausible.
You must have a suitably qualified person review AI-generated Output before relying on it or providing it to any third party (including Clients, investors, boards, lenders or regulators). AI Output is a drafting and analysis aid, not a substitute for professional judgement.
AI features may be provided using third-party model providers acting as our sub-processors, as listed in the Data Processing Addendum. We do not permit such providers to use your Customer Data to train their generalised models.
11No professional advice
Statim is a software provider. The Service and its Output — including consolidations, FX translations, tax-related computations, forecasts and commentary — are provided for information and workflow purposes only and do not constitute accounting, audit, tax, investment, legal or other professional advice.
We are not a firm of accountants or auditors, are not regulated by any accountancy or financial services body, and do not owe you or any third party professional duties in respect of Output. Responsibility for statutory accounts, filings and financial decisions rests with you, your Clients, and their appointed professional advisers.
12Acceptable use
You must not use the Service:
- in breach of any applicable law or regulation, including anti-money-laundering and sanctions laws;
- to upload or transmit malicious code, or to probe, scan or test the vulnerability of the Service without our written consent;
- to access data of another customer or tenant, or attempt to defeat tenant isolation;
- to store or process data you have no right to hold; or
- in a way that imposes unreasonable load on, or disrupts, the Service.
We may suspend access under clause 19.3 where we reasonably believe this clause has been breached.
13Availability, support and changes
We will use commercially reasonable endeavours to make the Service available continuously, except for planned maintenance (notified where practicable) and circumstances beyond our reasonable control. Any service levels or credits apply only if set out in an Order.
Support is provided by email at hello@statimfpa.ai; we reply within 1 working day, Monday to Friday.
We continually develop the Service and may add, change or remove features, provided we do not materially reduce its core functionality during a paid subscription period. If we discontinue the Service entirely we will give you at least 90 days’ notice and a pro-rata refund of prepaid fees for the unexpired period.
14Intellectual property
We (and our licensors) own all intellectual property rights in the Service, its software, design, templates, and documentation, and in improvements and feedback-derived enhancements. If you give us feedback or suggestions, we may use them without restriction or obligation.
As between the parties, Output generated from your Customer Data belongs to you, excluding any Statim templates, branding frameworks or embedded platform materials, which we license to you for use within the Output for your business purposes.
Where the Service applies your own branding (for example white-labelled board packs), you warrant you have the rights to the logos and marks you upload, and you grant us a licence to use them solely to render that Output.
15Confidentiality
Each party will keep confidential the other’s non-public information disclosed in connection with these Terms, use it only to perform its obligations or exercise its rights, and protect it with at least reasonable care. Customer Data is your confidential information; the Service and its non-public features and pricing are ours.
These obligations do not apply to information that is or becomes public without breach, was already lawfully held, is independently developed, or must be disclosed by law or a regulator (in which case the disclosing party will, where lawful, give prompt notice). They survive termination for 5 years, and indefinitely for trade secrets.
16Warranties and disclaimers
We warrant that the Service will be provided with reasonable skill and care and will materially conform to its documentation. Your exclusive remedy for breach of this warranty is that we will use reasonable endeavours to correct the non-conformity, or if we cannot, you may terminate the affected subscription and receive a pro-rata refund of prepaid fees for the unexpired period.
Except as expressly set out in these Terms, the Service and all Output are provided “as is”, and all other warranties, conditions and terms implied by statute or common law — including satisfactory quality, fitness for a particular purpose, and accuracy of Output — are excluded to the fullest extent permitted by law.
We do not warrant that the Service will be uninterrupted or error-free, that data supplied by Connected Services is accurate or complete, or that Output will satisfy any regulatory, audit or reporting standard.
17Limitation of liability
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded.
Subject to clause 17.1, neither party is liable for any loss of profits, revenue, anticipated savings, business or goodwill, loss or corruption of data (except our obligation to restore from our most recent backup), or any indirect or consequential loss, even if advised of the possibility.
Subject to clauses 17.1 and 17.2, each party’s total aggregate liability arising out of or in connection with these Terms is limited to the greater of the fees paid by you for the Service in the 12 months before the event giving rise to the claim and £5,000.
Without limiting clause 11, we have no liability for decisions made, filings submitted, or advice given by you or your Clients in reliance on Output, or for losses arising from data or actions of Connected Services.
18Indemnity
We will defend you against third-party claims that the Service, used as permitted, infringes UK intellectual property rights, and will pay resulting damages finally awarded or agreed in settlement, provided you notify us promptly, give us control of the defence, and reasonably cooperate. We may modify or replace the Service to avoid infringement, procure the right for you to continue using it, or terminate the affected subscription with a pro-rata refund. This clause states our entire liability for infringement.
You will indemnify us against losses, claims and expenses arising from Customer Data infringing third-party rights, from your breach of clauses 5 (authority over Client and Portfolio Entity data), 7.2 or 12, or from claims by your Clients or Portfolio Entities relating to services you provide to them.
19Term, suspension and termination
These Terms start when you first accept them or use the Service and continue until all subscriptions expire or are terminated (the “Term”). Subscriptions renew automatically for successive billing periods unless cancelled before renewal via the Service or by notice to hello@statimfpa.ai.
Either party may terminate immediately on notice if the other commits a material breach not remedied within 30 days of notice, or becomes insolvent, enters administration or liquidation, or suffers any analogous event.
We may suspend access (in whole or part) where fees are overdue under clause 6.3, where we reasonably believe clause 12 has been breached, or where suspension is necessary to protect the Service or comply with law. We will restore access promptly once the grounds are resolved.
On termination: your licence ends and you must stop using the Service. Customer Data stays available read-only, with the ZIP export, and is then deleted from live systems and from backups within the periods in the table below, except where law requires us to keep it. The table also shows how long we keep the other data we hold.
| What | Covers | How long we keep it |
|---|---|---|
| Customer Data | Everything in the workspace — uploaded files, ledger and bank data, mappings, budgets, forecasts, packs, notes and comments | Read-only with the ZIP export for 30 days after the trial ends or the subscription is cancelled; deleted from live systems within 90 days of the trial ending or the cancellation; gone from backups within a further 30 days |
| Account data | A person's name, email, login and MFA records, and billing records | For the life of the account and 12 months after closure (billing records longer where tax law requires) |
| Usage and security logs | The audit trail and access refusals | 12 months |
| Support correspondence | Emails and messages you send us | 24 months after the matter closes |
| Prospect data | Trial requests and the waitlist | Until you object, or 24 months of inactivity |
The 30-day export and the 90-day deletion apply to Customer Data only. Account data, logs, support correspondence and prospect data are kept for their own periods, shown above.
Clauses which by their nature should survive termination do so, including clauses 7.3, 9, 11, 14, 15, 16.2, 17, 18, 19.4, 21 and 22.
20Changes to these Terms
We may update these Terms from time to time. For material changes we will give at least 30 days’ notice by email or in-product notice. Changes take effect at your next renewal after the notice period, or earlier where required by law or where a change is needed for security or legal compliance. If you do not accept a material change, you may cancel before it takes effect and receive a pro-rata refund of prepaid fees for the unexpired period.
21General
Entire agreement. These Terms, together with any Order, the Data Processing Addendum and the Privacy Policy, are the entire agreement between the parties regarding the Service and supersede all prior discussions. Neither party relies on any statement not set out in them, but nothing limits liability for fraud.
Assignment. You may not assign or transfer these Terms without our prior written consent (not to be unreasonably withheld). We may assign to an affiliate or in connection with a merger, acquisition or sale of business, with notice to you.
Notices. Notices must be in writing: to us at hello@statimfpa.ai (postal address on request); to you at the email address on your account. Email notice is effective on the business day after sending, absent a delivery failure.
Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, except payment obligations.
Severability and waiver. If any provision is found unenforceable, the remainder stays in force and the provision applies to the maximum extent permitted. A failure to enforce a right is not a waiver of it.
Third-party rights. A person who is not a party has no rights under the Contracts (Rights of Third Parties) Act 1999 to enforce these Terms.
Relationship. The parties are independent contractors. Nothing in these Terms creates a partnership, agency or employment relationship.
22Governing law and jurisdiction
These Terms, and any dispute or claim (including non-contractual disputes) arising out of or in connection with them, are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction, except that we may seek injunctive relief in any court of competent jurisdiction to protect our intellectual property or confidential information.
